Contractor Terms & Conditions

Purpose of this Document

This customer agreement for in-flight pet transport services, hereinafter referred to as (“Agreement”) is effective immediately and subject to the terms and conditions contained within the said Agreement between the Parties and is made a part thereof.

 

Any term not otherwise defined herein shall have the meaning specified in the Agreement. In the event of any conflict or inconsistency between the terms and conditions concerning the business relationship between Parties, the terms of this Agreement shall govern and prevail.

This Agreement, executed between, SnubStub Pet Travel and its parent company Mariyum Minhas Enterprises LLC, hereinafter referred to as (“Company”) and contractor workers hereinafter referred to as (“Independent Contractor”), collectively referred to as the (“Parties”)

Period of Performance

The Services shall commence on the date of this Agreement and shall continue for a maximum period of 12 months, with a minimum duration of no less than 3 months. At which point, Independent Contractor may be offered a full-time permanent employee position at the sole discretion of the Company.

Recitals

Independent Contractor is engaged in providing services in accordance with federal, state, and local laws. Independent Contractor certifies that all information provided is truthful and provides consent for the Company to perform criminal and consumer background verification to ensure the safety our clients and community. Independent Contractor also agrees to maintain tax-withholding records and pay estimated taxes to the Internal Revenue Service (IRS) as required. Independent Contractor desires to enter into this Agreement and perform duties for the Company and is willing to do so on the terms and conditions set forth below.

Status as Independent Contractor

This agreement does not constitute a hiring. It is the parties’ intention that Independent Contractor shall have an independent contractor status and not be an employee for any purposes, including, but not limited to, the application of the Federal Insurance Contribution Act, the Social Security Act, the Federal Unemployment Tax Act, the provisions of Internal Revenue Code, the State Revenue and Taxation Code relating to income tax withholding at the source of income, the Workers’ Compensation Insurance Code 401(k) and other benefit payments and third party liability claims.

This Agreement shall not be considered or construed to be a partnership or joint venture, and the Company shall not be liable for any obligations incurred by Independent Contractor unless specifically authorized in writing. Independent Contractor shall not act as an agent of the Company, ostensibly or otherwise, nor bind the Company in any manner, unless specifically authorized to do so in writing.

Scope of Work

Independent Contractor shall provide the Services as follows:

​

Administration & Communication

  • Maintain minimum availability of 20 hours per week to perform duties.

  • Keep the Company and its clients informed of pet’s health status and conditions every hour while traveling for the Company.

  • Acknowledge that lack of timely communication or no-show or missed attendance will result in termination of this agreement, at the sole discretion of the Company.

  • Acknowledge that is a traveling position and flight departure and arrival time is not within the control of the Company and therefore no additional compensation will be renumerated in the event of flight delays or cancelations. However, pre-approved accommodation and transportation to the nearest approved hotel will be provided.

Upon Trip Request:

  • Trip announcements are non-exclusive, available to all Independent Contractors and Employees and final assignment of a trip is at the sole discretion of the Company.

  • Once the trip is accepted; Independent Contractor must initiate contact with the customer in approved communication channel with a short and relevant introduction and confirmation of the flight itinerary.

  • Independent Contractor is responsible for arranging to meet the customer at the airport at a designated public place at an agreed upon date and time with a minimum of 75 minutes before flight boarding time.

  • Confirm that customer has completed the pre-boarding checklist at least 72 hours prior to the date of Pick-Up.

Pick-Up:

  • On time arrival to meet customer at the airport at a min of 75 minutes before boarding.

  • Confirm the customer identification matches the name provided.

  • Face to face introduction to customer to reassure them that their pet is in good hands.

  • Provide an overview of what to expect and how frequently you will provide updates.

  • Introduction to customer’s pet to quickly bond with and comfort the pet prior to customer departing from the airport.

  • Inspection of customer’s pet and pet carrier to ensure it meets airline policies.

  • Review pet’s health certificate and vaccination records

  • Confirm pick-up is completed by taking a photo with the pet after gaining possession.

In Transit (at airport and/or in-flight):

  • Offer food (if provided) and water to the pet before and after the flight.

  • Offer restroom breaks with pee pads (if provided) at the pet relief area or private restroom.

  • Offer as much exercise as possible (e.g., by walking the dog instead of carrying it).

  • Ensure harness and leash are properly secured before carrying the pet through TSA security.

  • Ensure the pet is safely secured inside the pet carrier for take-off and landing.

  • Check with flight crew to determine if keeping the pet out of the carrier and in the lap is acceptable.

  • Ensure area around the carrier clear to provide maximum airflow and comfort for the pet.

Drop-Off:

  • Introduction to customer and facilitate introduction of pet to customer.

  • Inspection of customer’s ID or request verbal password before transferring pet.

  • Transfer of pet’s health certificate and vaccination records.

  • Provide a short verbal summary of what happened during the trip (food, restroom, etc.)

  • Signature and photo of customer with the pet confirming drop-off.

Contractor Responsibilities

Independent Contractor is to provide services for the Company. Services must be completed in a safe manner using proper pet care and industry best practices. Independent Contractor must follow all rules of the Company while providing services at any of their locations and service areas indoors and outdoors. Independent Contractor must ensure timely and dependable service.

Preparation:

  • Provide your personal availability schedules once a month, to the central office.

  • Reach out the central office if you have any questions related to in-flight pet travel.

  • Ensure access to tools you need to plan travel itineraries and back-up plans, including weather information to ensure trips aren’t schedule during inclement weather.

  • You are expected to know how to navigate to, from and within airports to arrive at your destination within the same day. Ideally, arrive as close to the original arrival time as possible.

  • You are expected to commute from your home to the departure airport (including air and ground transportation) at your own cost. This may include arriving a day earlier and staying the night if you so choose to do so. There are no reimbursements for hotels on layovers unless explicitly approved by the Company.

  • Communicate with the office and/or customer to update us on the status of the pet and flight (if there are any delays, cancellations, etc.) and what the back-up plan will be in the event of a flight delay or disturbance.

  • Ensure open lines of communication with central office by keeping contact info up to date.

  • Ensure adequate coverage of pet insurance is required.

Other Common Events:

  • At departure or connecting airport,

    • You are delayed from your original flight.

      • Prior research on back-up routes should have already happened and you will list yourself on the new flight(s), then notify the customer of your flight delay and provide the new itinerary information so they can track the flight

      • You are expected to understand how to navigate confirmed or stand-by travel and the customer depends on you to get to the destination in a timely manner.

Less Likely Events:

  • At the departure airport, customer doesn’t show up or is more than 30 mins late:

    • Trip will be considered as cancelled and you will be paid 50% of your trip compensation and asked to return home.

  • At departure or connecting airport,

    • You are “stuck” in a city due to inclement weather or other reasons:

      • Customer will reimburse you for pre-approved hotel stay, transportation and meals for yourself and the pet.

      • While rare, this is a situation for which you should be aware and prepared.

  • At the arrival airport (after trip completion)

    • Customer doesn’t show up at all or more than 30 mins late to claim the pet:

      • Call the office to arrange for further instructions and remain with pet.

      • Additional compensation will be provided on an hourly basis until the pet is dropped-off.

      • In the rare event, that the customer does not pick the up the pet more than one hour after agreed meeting time, you will come back with the animal and ensure it retuned the sender.

  • At any point before, during or after the trip

    • Pet has a medical emergency.

      • Call the office to arrange for further instructions and rush pet to nearest emergency veterinarian facility.

  • At any time, Contractor may never leave pet unattended or with another person for any reason.

  • Regardless of the situation or at anytime, Contractor must never fail to deliver the pet to one of the following: the pet parent at the destination, the sender at the departure location, approved emergency contact or approved pet boarding facility before leaving work. 

  • At any time, Contractor must answer all phone calls, text messages or emails from Company immediately or return in-kind communication within 10 mins or it will be considered a breach of contract and pet will be reported as lost. â€‹

Customer Responsibilities

Our customers have also agreed to the following:

Trip Request:

  • Be responsive and have all checklist items completed 72 hours before day of departure. 

​

Pick-Up:

  • Be on time and arrive 30 mins prior to any scheduled meetings with Independent Contractor at the airport. Otherwise, fees will apply.

  • Provide the necessary documentation (health certificate, vaccine records, etc.) in physical and digital format.

  • Show ID before sending the pet and confirm travel details.

​

In Transit (at airport and/or in-flight):

  • Be available to accept communications (text, email, phone, etc.)

​

Drop-Off:

  • Show ID before taking possession of the pet and confirm travel details.

  • Provide signature confirming pet acceptance.

​

Emergencies or Abnormal Circumstances

  • Additional compensation will provided for emergency or unique situations that cause additional time and accommodations, including delays, traffic or unknown situations

​

Compensation and Payment Schedule

Independent Contractor shall be entitled to compensation for performing those tasks and duties related to the Scope of Work by submitting to the Company, proof of completed services. Independent Contractor hereby agrees and understands that all fees and payments for services provided for the Company are to be run through the Company’s point of sale systems for processing. Independent Contractor agrees to provide services for clientele of the Company at the prevailing wages as agreed upon by both parties.

 

The Independent Contractor has the discretion to accept or decline services provided by the Company. This Agreement will be conducted on a Trip basis, regardless of number of hours. Independent Contractor will provide services based on the following rate structure:

  • Standard Trip defined as 8 hours or less of flight time receives compensation of $200 flat rate without not additional reimbursements unless otherwise pre-approved in writing.

  • Extended Trip defined as greater than 8 hours, but less than 18 hours receives compensation of $300 flat rate without not additional reimbursements unless otherwise pre-approved in writing.

  • Special Trip defined as any trip that is greater than 18 hours receives additional compensation of $50/hour until trip closure which results in cancellation, return of pet to sender, drop-off pet to emergency contact or pet boarding facility at sole discretion of the Company.

Payments for trips are paid 48-72 hours after completion. However any unsatisfactory or unfinished trips at sole the company will be considered a breech of contract and payment will not be made. It is critical to ensure that all trips are completed safely.

 

Notice Concerning Withholding of Taxes

Independent Contractor recognizes and understands that it will receive an IRS 1099 statement and related tax statements and will be required to file corporate and/or individual tax returns and to pay taxes in accordance with all provisions of applicable Federal and State law.

Independent Contractor hereby promises and agrees to indemnify the Company for any damages and expenses, including attorney’s fees, and legal expenses, incurred by the Company because of Independent Contractor’s failure to make such required payments.

 

Return of Property

Upon termination of this Agreement, or whenever requested by the Company, the Independent Contractor shall immediately deliver to the Company all property including but not limited to, proprietary information, customer lists, trade secrets, intellectual property, computers, equipment, tools, documents, recordings, software, and all related records or accounting ledgers.

 

Termination

This Agreement may be terminated by the Independent Contractor with (30) days written notice to the Company and shall see that any existing service agreements provided by the Company are fulfilled during the (30) day period before discontinuing services. This Agreement may be terminated by the Company for any reason with (30) days written notice to the Independent Contractor. This Agreement may be terminated by the Company and the Independent Contractor dismissed immediately under the following conditions.

  1. Theft of any kind.

  2. Use of the Company’s facilities, computers, or property for any illegal purpose or activity.

  3. The use or possession of any illegal drugs in the facility and/or service areas.

  4. Taking payment directly for any services conducted by the Company without processing such payments through the Company.

  5. Soliciting or attempting to solicit clients of the Company.

  6. No Shows or Being Late for any session, service, or interview.

  7. Client or pet injury as a direct cause of neglect or poor judgment.

  8. Conviction of a felonious crime.

 

Agreement to Waive Right to Benefits

Independent Contractor hereby waives and foregoes the right to receive any benefits given by Company to its regular employees, including but not limited to health benefits, vacation and sick leave benefits, workers’ compensation insurance, and profit-sharing plans. This waiver is applicable to all non-salary benefits and is effective for the entire duration of this Agreement.

 

Expense Accounts

Independent Contractor and the Company agree to maintain separate accounts in regard to all expenses relating to the Scope of Work. Independent Contractor is solely responsible for payment of expenses incurred pursuant to this Agreement unless provided otherwise in writing by an officer of the Company. Independent Contractor agrees to execute and deliver any agreements and documents prepared by the Company and to do all other lawful acts required to establish document and protect such rights.

 

Insurance and Certification

Independent Contractor agrees to supply the Company with proof of Pet Insurance, including a declaration of a rider from their insurance provider that shows the Company as a co-insured.

  • Pet Insurance Policy at $20 per month

  • Theft Protection and Dishonesty Policy at $10 per month

  • Paid annually or monthly, at the sole discretion of the Company.

Indemnification

Independent Contractor shall defend, indemnify, hold harmless, and insure Company from all damages expenses or liability resulting from or arising out of, any negligence or misconduct on Independent Contractor’s part, or from any breach or default of this Agreement which is caused or occasioned by the acts of Independent Contractor. Independent Contractor shall insure that its affiliates take all actions necessary to comply with the terms and conditions set forth in this agreement. Independent Contractor shall name Company as an additional insured on all related insurance policies including workers’ compensation, and general liability.

Governing Law

This Agreement shall be governed by, and construed under, the laws of the State of Texas.

​

Confidentiality and Non-Disclosure

Independent Contractor agrees not to disclose or communicate, in any manner, either during or after Independent Contractor’s agreement with Company, proprietary information about Company, hereinafter referred to as “Information”, its operations, clientele, or any other proprietary information, that relate to the business of Company including, but not limited to, the names of its customers, its marketing strategies, operations, or any other information of any kind which would be deemed confidential, a trade secret, a customer list, a prospect list, exercise methods, programs, processes, unpublished materials, products, trademarked assets, additional programs and offerings to be added and all other information included in the scope of the confidential information or other form of proprietary information of Company. Independent Contractor acknowledges that the above Information is material and confidential and that it affects the profitability of Company. Independent Contractor understands that any breach of this provision, or that of any other Confidentiality and Non-Disclosure Agreement, is a material breach of this Agreement.

“Current business of the Company” shall be defined as clients who have active agreements at Company’s pet services center, clients who have possessed past agreements with the Company, and potential clients. Independent Contractor shall not reveal to any third party, without written consent of Company, any improvements, discoveries, developments, inventions, processes, methods, plans, customer listing, customer status or files, pricing, confidential affairs, or any other matters, the revealing of which could, in any manner, adversely affect the Company’s Business. In addition, Independent Contractor shall not take any action which might reasonably or foreseeable be expected to compromise the confidentiality or proprietary nature of any Confidential Information. Company wishes to disclose the Information only if it can do so without risk that the Information’s value will be diminished. Independent Contractor understands that Company has invested substantial effort into developing this Information and that Independent Contractor's unauthorized disclosure of the Information would irreparably damage Company. The Information cannot be adapted, renamed, or reengineered in any manner to create, teach, or offer a similar program, routine, or service.

Non-Solicitation Covenant

Independent Contractor will not, during this Agreement and for a period of ten years immediately following termination of this Agreement, either directly or indirectly, call on, solicit, or take away, or attempt to call on, solicit, or take away, any of the customers or clients provided by the Company the Independent Contractor worked with or spoke to during the course of this Agreement for pet services and consultation, either for their own benefit, or for the benefit of any other person, firm, corporation, or organization.

Non-Recruit Covenant

Independent Contractor will not, during this Agreement and for a period of ten years immediately following termination of this agreement, either directly or indirectly, on behalf of himself or on behalf of any other person, firm, or corporation, solicit or recruit an Independent Contractor of the company to leave the employ of the company or to become employed by any person, firm or corporation engaged in competition with the company. It is the intention of the Company and Independent Contractor that the provisions of this Agreement shall be fully enforced permissible under the laws and public policies of the State of Texas. If any provision of this Agreement shall be determined to be invalid or unenforceable, either in whole or in part, this Agreement shall be deemed amended to delete or modify, as necessary, the offending provisions and to alter the balance of this Agreement in order to render the same valid and enforceable to the fullest extent permissible. Additionally, the provisions of this Agreement shall be deemed to be valid for any lesser duration permitted by law if the duration set forth herein is deemed to be too broad by a court of competent jurisdiction. This Agreement shall be in full force and effect for 10 years, commencing with the date of employment termination. This Agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns, and personal representatives.

Addendum A.

This The Independent Contractor hereby agrees to the following additional terms and conditions for services with the Company.

  1. Independent Contractor agrees to follow the Company dress code policy.

  2. Independent Contractor agrees not to solicit clients of the Company for any promotion, event, or services outside the scope of this agreement.

  3. Independent Contractor agrees to follow the Company’s assessment process when working with clients provided to them by the Company.

  4. The Independent Contractor agrees to provide the scheduled trips for the Company’s clients at their scheduled appointment times. Furthermore, the Independent Contractor agrees to complete the services within the same day. If the Independent Contractor is unable to complete the trip within the same day, the Independent Contractor must remain with the pet until they are able to complete the trip.

  5. If the Independent Contractor is unable to complete the services at their scheduled time, Independent Contractor agrees to coordinate coverage by another qualified replacement, 72 hours before scheduled departure.

  6. The Independent Contractor agrees to complete the procedures for trip tracking and communications as outlined by the Company.

  7. The Independent Contractor agrees to provide the following services in accordance with the Company's guidelines on proper assessment, technique, and manner of treating clientele.

Addendum B.

Background Check Authorization Statement.

I hereby authorize SnubStub Pet Travel and associated companies ("the Company") to obtain a consumer report and/or investigative consumer report about me for purposes of evaluating me as an independent contractor. This report may include information about my character, general reputation, personal characteristics, mode of living, criminal history, driving record, credit history (if applicable), and other relevant background information.

I understand that the report may be obtained through a third-party consumer reporting agency, and that under the Fair Credit Reporting Act (FCRA), I have the right to request the nature and scope of any investigative consumer report obtained.

I acknowledge that this authorization shall remain in effect for the duration of my relationship with the Company and that additional reports may be obtained at any time, subject to applicable law.

I certify that the information I have provided to the Company is true and complete to the best of my knowledge. I understand that any false or misleading information may result in denial or termination of my contractor relationship.

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be effective as of the day, month and year first written above.
